Public offer
1. General Provisions
1.1. This Agreement is an official and public offer from the Seller to conclude a Sales Agreement for the Goods presented on the Website WWW.SVL.UA.
1.2. According to Article 633 of the Civil Code of Ukraine, this Agreement is public, and its terms are the same for all buyers, regardless of their status (individual, legal entity, or private entrepreneur).
1.3. By concluding this Agreement, the Buyer fully accepts the terms of this Agreement, including the order placement procedure, payment methods for the Goods, delivery conditions, returns, and other provisions of this Agreement.
1.4. Acceptance of this Agreement confirms that the Buyer has read, understood, and has no objections to its content.
1.5. The Agreement is considered concluded from the moment the Buyer places an Order using the method specified in clause 3.3 of this Agreement.
2. Terms Used in This Agreement
2.1. Goods – products, services, works, and information about which are posted (presented) on the Website, namely: LED luminaires, power supplies, panels and lighting control consoles, light reflectors, LEDs, LED strips, boards and bars, aluminum profiles, reflectors, power cables, light diffusers, electronic boards with drivers, other electronic and electromechanical components, luminaire and aluminum profile mounting elements, accessories, and accompanying materials; services and works for lighting audits, lighting design, project documentation development, photometric calculations, luminaire electrical installation and supervision, maintenance, and others.
2.2. Website – the Seller’s website at WWW.SVL.UA, created for the Seller using web technologies, an interactive resource for posting commercial and general information. It is used by the Seller for business purposes, including the sale of Goods, and for concluding retail and wholesale sales agreements by acquainting the Buyer with the Goods description provided by the Seller.
2.3. Buyer – a legally competent individual over 18 years old (private individual), private entrepreneur, or legal entity that has concluded this Agreement with the Seller to purchase Goods/Services presented on the Website for personal or business use.
2.4. Seller – LLC "SVITELKOM UKRAINE", EDRPOU code 40397897, a legal entity established and operating according to the laws of Ukraine, legal address: 04114, Kyiv, Dubrovitska St., 28; postal address: 03124, Kyiv, Vaclav Havel Blvd, 8. Other legal entities and private entrepreneurs posting Goods for sale on the Website may also act as Sellers. The Seller's name is indicated when placing an Order and in documents transferring the Goods to the Buyer.
2.5. Order – the selection by the Buyer of individual product items from the list of Goods presented on the Website, through: placing an Order on the Website in the Personal Account (filling out the Order form on the Website), sending an Order to the Seller's email, or placing an Order by phone, as indicated in the Contacts section of the Website.
2.6. Personal Account – a closed section of the Website accessible to a specific Buyer (one individual or legal entity). This section is created at the Buyer’s initiative through registration (providing personal data) in a special form on the Website. It is used for placing Orders, making payments, arranging delivery, submitting complaints, and storing information about previous purchases and cooperation terms with the Seller.
3. Subject of the Agreement and Procedure for Its Conclusion
3.1. The Seller undertakes to transfer ownership of the Goods ordered on the Website to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
3.2. This Agreement regulates the sale of Goods using the interactive functionality of the Website, including: rules for selecting Goods, placing Orders, payment procedures, delivery, transfer of ownership, and other essential terms.
3.3. The date of conclusion of this Agreement – a Public Offer (acceptance of the offer) and the moment of full and unconditional acceptance by the Buyer – is considered the date of placing the Order by the Buyer via the Personal Account, email, or phone, provided that the Seller confirms the Order electronically. As confirmation, the Seller sends the Buyer an invoice or Order form to the email provided. If necessary, the Agreement can also be concluded in written form at the Buyer’s request.
4. Order Placement Procedure
4.1. The Buyer has the right to place an Order for any product presented on the Website.
4.2. The Goods presented include:
4.2.1. Goods available in the Seller’s warehouse;
4.2.2. Goods to be delivered to the warehouse soon (marked accordingly); the delivery time is indicated for such items.
4.2.3. Goods supplied only upon Buyer’s request (marked accordingly); delivery time is indicated.
4.2.4. Goods manufactured by the Seller on an individual order; production and delivery terms are specified in a written agreement or documents for custom manufacturing.
4.3. Minimum and maximum order quantity and amount are set by the Seller for each category of Goods and indicated on the Website.
4.4. The Buyer places the Order on the Website via:
- Personal Account form on the Website;
- Email to the Seller;
- Phone, as indicated in the Website Contacts section. The Buyer receives an invoice or Order form, with a copy sent to their email.
4.5. If Goods are unavailable in the warehouse, delivery time may be extended. The Buyer can replace, refuse, or cancel the Order.
4.6. Sales are conducted in the national currency (UAH).
5. Price of Goods and Payment Methods
5.1. Prices are set by the Seller in UAH and do not include delivery costs.
5.2. The Seller may unilaterally change prices depending on market conditions. Paid Orders cannot have their prices changed unilaterally.
5.3. Delivery and related services costs are indicated on the Website.
5.4. The Buyer may pay using:
5.4.1. Visa/MasterCard via online acquiring integrated with the Website;
5.4.2. Bank transfer according to the Seller’s invoice.
5.5. For custom-made Goods, a written agreement may be concluded specifying all essential terms, including payment.
5.6. If an Order is canceled or Goods are returned, funds paid by the Buyer are refunded via:
- The card used for payment via the integrated payment system;
- A card provided by the Buyer if paid via bank transfer;
- Bank account for non-cash payments.
5.7. Refunds are made within 10 banking days after receiving the Buyer’s properly completed written request.
5.8. The Seller may determine payment methods for specific Goods categories.
6. Delivery Terms
6.1. Delivery outside Kyiv region and 15 km from the city limits:
6.1.1. To courier company points (default – “Nova Poshta”) at Seller’s expense if Order exceeds UAH 2000;
6.1.2. The Seller may change delivery conditions unilaterally, effective upon Website update.
6.1.3. Delivery to Buyer’s address is at Buyer’s expense unless otherwise agreed;
6.1.4. Delivery to temporarily occupied territories is not performed;
6.1.5. Delivery times are set by the courier company from the date of transfer to the company;
6.1.6. Shipment date is the payment date before 14:00, or the next business day if after 14:00;
6.1.7. The Seller is not responsible for delays by the courier company.
6.2. Delivery within Kyiv and 15 km zone:
6.2.1. By Seller’s courier at Seller’s expense for Orders over UAH 5000;
6.2.2. Same-day delivery if payment received before 10:00; otherwise next day;
6.2.3. Buyer must agree on the delivery address;
6.2.4. The Seller may change these terms unilaterally;
6.2.5. Urgent delivery via courier company at Buyer’s expense.
6.3. Self-pickup at: Kyiv, Vaclav Havel Blvd, 8, X-space, Mon-Fri, 08:00–19:00.
6.4. Goods are accompanied by proper documentation.
6.5. The Seller makes all efforts to meet delivery times.
6.6. Receipt date is signing the delivery document or actual receipt.
6.7. Buyer must inspect for damage on receipt; otherwise claims are not accepted.
6.8. Buyer may inspect Goods after full payment without affecting consumer rights.
6.9. Buyer may assign a third-party recipient.
6.10. Specific delivery conditions for certain Goods are on the Website.
7. Return Conditions
7.1. Buyer may return or exchange Goods within 14 days if they do not meet expectations (appearance, size, color, etc.) and Goods are unused and in original condition. Returns for reasons unrelated to quality are at Buyer’s expense.
7.2. Defects discovered during warranty period may be claimed according to Ukrainian law.
7.3. Claims are considered if required documents are provided.
8. Rights and Obligations of Parties
8.1. Buyer obligations include registration, reviewing terms, ordering, paying, and inspecting Goods.
8.2. Buyer rights include receiving services, replacements, refunds, and consultations.
8.3. Seller obligations include delivering Goods, ensuring quality, providing documentation, and protecting Buyer data.
8.4. Seller rights include changing terms/prices, suspending obligations for Buyer breach, updating Goods info, refusing unjustified claims, and involving third parties.
9. Liability
9.1. Parties are responsible for non-performance according to this Agreement and law.
9.2. Seller is not liable for defects caused after delivery due to misuse or force majeure.
9.3. Force majeure events exempt parties from obligations.
9.4. Website terms are preliminary; specific sales terms may be defined in individual agreements.
10. Confidentiality and Personal Data Protection
10.1. By agreeing, Buyer consents to processing and use of personal data under Ukrainian law.
10.2. Seller will not disclose information, except as required by law or for order fulfillment.
10.3. Buyer must keep personal data accurate; Seller is not responsible for outdated information.
11. Notifications
11.1. By registering, Buyer consents to receive messages via SMS or email from Seller and partners.
11.2. Buyer may unsubscribe at any time via the Personal Account.
12. Use of Materials on the Website
12.1. Website contains copyright-protected materials.
12.2. All content is protected by Ukrainian law and international agreements.
12.3. Buyer or third parties may not copy, modify, publish, or distribute Website materials.
13. Other Terms
13.1. The Agreement is governed by Ukrainian law.
13.2. Disputes are settled via negotiation, or in court if necessary.
13.3. Seller may unilaterally amend the Agreement; changes may also be made by mutual consent.
14. Term and Termination
14.1. The Agreement is valid until full performance, except in cases of early termination.
14.2. Termination by mutual consent is possible before delivery through refund.
14.3. The Agreement may be terminated by court if one party materially breaches the terms.
